1. Acceptance of These Terms
These Terms of Service (the "Terms") govern your access to and use of the website at splashbi.com, together with its subdomains, sub-pages, and related online resources (the "Site"), which is operated by Splash Business Intelligence, Inc., doing business as SplashBI ("SplashBI", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, please do not access or use the Site.
We may make the Site available from more than one domain or region. These Terms apply wherever and however you access the Site.
2. Relationship to Other Agreements
The Site is an informational and marketing resource about SplashBI and its platform, products, and services. These Terms govern only your use of the Site. Your license to and use of any SplashBI software, cloud service, or subscription (the "Services") is governed by the separate written agreement between you or your organization and SplashBI, such as a master subscription agreement, order form, or evaluation agreement (a "Services Agreement"). If there is a conflict between these Terms and a Services Agreement with respect to the Services, the Services Agreement controls. Nothing on the Site forms part of, or modifies, any Services Agreement.
Certain SplashBI properties linked from the Site, such as sqlconnect.com and our careers portal, may be governed by their own separate terms that apply when you use those properties.
3. Eligibility and Authority
The Site is intended for business users and is not directed to children. You may use the Site only if you are at least 16 years of age, or the age of digital consent in your jurisdiction, and able to form a legally binding contract. If you use the Site or submit information on behalf of a company or other organization, you represent that you are authorized to act on its behalf and to bind it to these Terms, and in that case "you" refers to both you and that organization.
4. Changes to the Site and to These Terms
We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time. When we do, we will revise the Effective Date shown below and post the updated Terms on the Site. Changes apply prospectively from the date they are posted. Your continued use of the Site after changes take effect means you accept the updated Terms, so we encourage you to review them periodically.
5. Permitted Use and License
Subject to these Terms, SplashBI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and to view, download, and print content from it solely for your own internal, informational, and evaluation purposes, or for legitimate business purposes in considering SplashBI's products and services. You must keep intact all copyright and other proprietary notices on any content you download. This license does not include any right to resell, republish, distribute, or otherwise commercially exploit the Site or its content.
6. Acceptable Use
You agree not to, and not to allow any third party to:
- use the Site in violation of any applicable law or regulation, or in a way that infringes the rights of others;
- copy, scrape, harvest, crawl, index, or systematically retrieve data or content from the Site except as expressly permitted, or use automated means such as bots or scrapers other than well-behaved search-engine crawlers acting in accordance with our published robots directives;
- reverse engineer, decompile, or attempt to derive source code from the Site or any software made available through it, except to the extent this restriction is prohibited by applicable law;
- probe, scan, or test the vulnerability of, or breach or circumvent, any security or authentication measure of the Site, including any access gate, or access any non-public area of the Site or our systems;
- interfere with or disrupt the Site or the servers and networks that host it, including by transmitting malware, launching a denial-of-service attack, or imposing an unreasonable load;
- frame, mirror, or misrepresent the Site, or remove or alter any notices;
- use the Site to send unsolicited communications or to collect information about other users;
- use any SplashBI trademark, logo, or brand feature without our prior written permission, or in any way that falsely suggests sponsorship or endorsement.
We may investigate and take appropriate action for any suspected violation, including restricting or terminating access and reporting to the relevant authorities.
7. Registration, Forms, and Gated Content
Parts of the Site let you contact us, request a demo or pricing, subscribe to communications, apply to partner with us, or access gated resources such as webinars, datasheets, and whitepapers. When you submit a form or request gated content, you agree to provide accurate, current, and complete information, and you consent to our contacting you about your request and, where you have opted in or where otherwise permitted by law, about related SplashBI products and updates. You can opt out of marketing communications at any time as described in our Privacy Policy. Gated resources are provided for your internal informational use and remain subject to the intellectual property terms below. We may decline or withdraw access to gated content or interactive features at our discretion.
8. Submissions and Feedback
The Site may let you submit messages, questions, form responses, survey answers, or feedback, including through our on-site feedback tool and interactive demonstration features (together, "Submissions"). You are responsible for your Submissions and represent that you have the right to provide them. Please do not include sensitive personal information, confidential business information, regulated data, or any third party's proprietary information in a Submission, and do not submit anything unlawful, infringing, or harmful.
Except for personal information, which we handle as described in the Privacy Policy, you grant SplashBI a worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, and incorporate any Submission, including suggestions, ideas, and feedback about our products, for any purpose and without obligation or compensation to you. We are free to use feedback to improve our products and services without restriction.
9. Interactive and Pre-Release Features
The Site may include interactive demonstrations, sample outputs, generated responses (including from AI-assisted features such as SplashAI demonstrations), and features identified as beta, preview, or evaluation. These are provided for illustration only. They may not reflect actual product behavior, may change or be withdrawn at any time, and may produce output that is incomplete or inaccurate. Do not rely on any interactive or pre-release feature, or its output, as a statement of fact, a professional recommendation, or a commitment by SplashBI.
10. Intellectual Property
The Site and its content, including text, graphics, images, video, user interfaces, layout, design, data models, documentation, and software, together with all intellectual property rights in them, are owned by SplashBI or its licensors and are protected by copyright, trademark, and other laws. Except for the limited license granted above, no rights are granted to you.
"SplashBI", "SplashAI", the SplashBI logo, "AI x BI Flywheel", and other SplashBI names and marks are trademarks of SplashBI. You may not use them without our prior written permission.
11. Third-Party Names, Trademarks, and Integrations
The Site refers to third-party products, platforms, and organizations, including systems that SplashBI connects to or supports, for example Oracle, Oracle E-Business Suite, Oracle Discoverer, UKG, Salesforce, SAP, and Snowflake, cloud providers such as AWS, Microsoft Azure, Google Cloud, and OCI, and AI models such as GPT and Gemini. All third-party names and marks are the property of their respective owners. Their use on the Site is for identification and descriptive purposes only and does not indicate any affiliation, sponsorship, endorsement, or partnership unless expressly stated. References to integrations or supported systems describe interoperability and are not a warranty of any third party's products.
12. Customer References, Statistics, and Analyst Content
The Site may display customer names, logos, testimonials, case studies, quantified results, awards, and third-party analyst or award content. These are provided for general information. Reported metrics and outcomes reflect specific situations, are not a guarantee of results, and your results may vary. Analyst recognitions and awards belong to their respective organizations and are used with permission where required. Third-party quotations and marks remain the property of their owners.
13. Forward-Looking Content and No Professional Advice
Content on the Site, including product descriptions, roadmaps, benchmarks, and statements about future features, is provided for general information and may describe plans that are subject to change. It is not a promise that any feature will be delivered. The Site does not provide legal, financial, tax, accounting, security, or other professional advice, and you should not rely on it as such. You are responsible for evaluating the suitability of any product or information for your needs.
14. Third-Party Links, Embeds, and Services
The Site links to and embeds third-party websites, content, and services, such as video players, form and marketing tools, and social media. We do not control and are not responsible for third-party sites or services, their content, or their privacy or data practices. Your use of them is at your own risk and may be governed by the third party's own terms and policies. A link or embed does not imply our endorsement.
15. Privacy and Cookies
Our collection and use of personal information through the Site is described in our Privacy Policy. The Site uses cookies and similar technologies as described in our Cookie Policy and, where applicable, subject to your consent choices. By using the Site you acknowledge the Privacy Policy. Please review it to understand your rights and choices.
16. Disclaimers
The Site and all content, resources, and features are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, SplashBI disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any content is accurate, complete, or current. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
17. Limitation of Liability
To the fullest extent permitted by law, SplashBI and its affiliates, and their officers, directors, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your access to or use of, or inability to use, the Site, whether based in contract, tort, negligence, strict liability, or otherwise, and even if advised of the possibility of such damages.
To the fullest extent permitted by law, SplashBI's total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred US dollars ($100). These limitations apply to your use of the Site and do not affect any separate Services Agreement, which has its own liability terms. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
18. Indemnification
You agree to indemnify, defend, and hold harmless SplashBI and its affiliates, and their personnel, from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your misuse of the Site, your Submissions, or your violation of these Terms or of any law or third-party right.
19. Governing Law and Dispute Resolution
These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules, and, where applicable, by the federal laws of the United States.
Any dispute that cannot be resolved informally will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Atlanta, Georgia, United States, before a single arbitrator, and conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. To the extent permitted by law, disputes will be resolved on an individual basis, and you and SplashBI waive any right to participate in a class or representative proceeding. Either party may still seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. If arbitration is held not to apply, the state and federal courts located in Atlanta, Georgia will have exclusive jurisdiction, and you consent to their jurisdiction and venue.
Mandatory local rights. If you use the Site as a consumer, nothing in these Terms limits any rights you have under the mandatory laws of your country of residence that cannot be waived by agreement. The governing law, arbitration, venue, and class-waiver provisions above apply only to the extent permitted by the law that applies to you. Where your local law does not permit them, they do not apply to you, and you may have the right to bring proceedings, and to require these Terms to be governed by the law, of your place of residence. This section does not affect any separate Services Agreement, which sets its own governing law and dispute terms.
20. International Access
The Site is intended for a global audience. SplashBI operates from the United States and maintains offices in other regions, including the United Kingdom, India, and the Middle East. We make no representation that the Site or its content is appropriate or available for use in any particular location, and some features may not be available everywhere. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. Our handling of personal information for users worldwide is described in our Privacy Policy.
21. Export Controls and Sanctions
You agree to comply with all applicable export control and economic sanctions laws. You represent that you are not located in, and will not use the Site on behalf of anyone located in, a country or region subject to comprehensive sanctions, and that you are not a restricted or denied party under applicable law.
22. Copyright Complaints
If you believe content on the Site infringes your copyright, please send a notice with the information required by the U.S. Digital Millennium Copyright Act to legal@splashbi.com, or to our mailing address below addressed to the Legal Department. We may remove allegedly infringing content and may terminate access for repeat infringers.
23. Suspension and Termination
We may suspend or terminate your access to all or part of the Site at any time, with or without notice, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive, including those on intellectual property, Submissions, disclaimers, limitation of liability, indemnification, and governing law.
24. General
These Terms, together with the Privacy Policy and any other policies referenced here, are the entire agreement between you and SplashBI regarding the Site and supersede prior understandings about the Site. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure caused by events beyond our reasonable control. Headings are for convenience only.
Language. These Terms are written in English. Any translation is provided for your convenience only, and if there is a conflict the English version controls, except where your local law requires otherwise.
